Terms and Conditions for Ethical Junction Membership 1. Description of Service 1.1 We will provide an Annual Membership Service for organisations. 1.2 We will provide our Members with the capability to register and promote their organisation or person through the use of our Domain and Services. 1.3 We will provide opportunities and encourage our Members to work together and collaborate to support the development of an ethical and sustainable economy. 2. Acknowledgement and Acceptance of Terms of Service 2.1. This Service is provided to you under the Terms and Conditions of this Terms of Service and any operating rules or policies. 2.2 The Terms of Service comprises the entire agreement between You and this Service supersedes all prior agreements between the parties regarding the subject matter contained herein. 2.3 By completing the registration process You are indicating your agreement to be bound by all of the Terms and Conditions of this Terms of Service. 2.4 We retain ownership of all Intellectual Property Rights within our Domain(s), Database and the Service, including without limitation, the design, text, graphics, the selection and arrangement. 3. Application for Membership 3.1 In consideration for this Service, you agree to: (1) provide certain, current, complete, and accurate information as prompted to do so by the Service and (2) maintain and update this information as required to keep it current, complete and accurate. 3.2 If any information provided by You is incomplete or inaccurate, We retain the right to terminate your use of this Service. 3.3 You warrant, represent and undertake in relation to all material that You have obtained full and effective licence(s) from all relevant third parties allowing You to use relevant material and to permit its dissemination worldwide. 3.4. You warrant that You have appropriate security procedures in place to protect your visitor and buyer personal information. 3.5 We retain the right at all times to refuse to, provide service or any part thereof, including without limitation, post any unacceptable material and to remove any unacceptable material from our Domain(s) and our Database. 4. Disclaimer of Warranties 4.1 You expressly agree that use of the Service is at your sole risk. 4.2 We make no warranty that the Service will meet your requirements, or that the Service will be uninterrupted, timely, secure, or error free; nor do we make any warranty as to the results that may be obtained from the use of the Service or as to the accuracy or reliability of any information obtained through the Service or that defects in the software will be corrected. 4.3 You understand and agree that any material and/or data downloaded or otherwise obtained through the use of the Service is done at your own discretion and risk and that You will be solely responsible for and damage to your computer system or loss of data that results from the download of such material. 4.4 We make no warranty regarding any goods or services purchased or obtained through the Service or any transactions entered through the Service. 4.5 No advice or information, whether oral or written, obtained by You from us or through the Service shall create any warranty not expressly made herein. 4.6 You agree that We are not responsible for and material and/or information provided by You or our other Members. 5. Limitation of Liability 5.1 We shall not be liable for any direct, indirect, incidental, special or consequential damages, resulting from the use or the inability to use the Service or for cost of procurement of substitute goods and Services or resulting from any goods or Services purchased or obtained or messages received or transactions entered into through the Service or resulting from unauthorised access to or alternation of your transmissions or data, including but not limited to, damages for loss or profits, revenue, use, data, goodwill or other intangible, even if we have been advised of the possibility of such damages. 5.2 Neither us or our Members shall be liable to the other for any loss suffered by the other party or be deemed to be in default for any delays or failures in performance hereunder (other than in relation to payment) resulting from acts or causes beyond its reasonable control or from any acts of God, acts or regulations of any governmental or supra-national authority. 6. Our Prices and Changes 6.1 Unless expressed and agreed in advance, accounts shall be paid in advance on the first and subsequent anniversaries for the full cost of Membership through provided payment options. 6.2 Any queries or dispute relating to any invoice issued by Ethical Junction must be raised by You within 7 days of receipt of invoice, otherwise the invoice will be deemed accepted. 6.3 Membership term is annual, with fees paid in advance and recurring. If You wish to stop or suspend your Membership before the term is up, You are still liable for payment of that term. 6.4 Accepted invoices and or payments are non-refundable. 6.5 Charges for Membership are subject to increase at any time without notice to the Member. Members have the option to cancel without surcharge or continue at the revised rate. Charges for Membership and any additional services are set out in our price list (which we may publish from time to time). 6.6 We reserve the right to charge interest on any monies due which shall be in arrears and unpaid. Such interest will be calculated upon the amount owing at rate equivalent to 4% per annum above the base rate of the Co-operative Bank in the United Kingdom for the time being in force. 7. Your Conduct 7.1 We may, at our sole discretion, immediately terminate the Service should your conduct fail to conform to these Terms and Conditions or the Ethical Junction CIC Ethical Policy. 7.2 Should you seek to directly or indirectly interfere with, damage or degrade the Service then we may hold you responsible for all our technical, legal and other costs, including any loss of profit. 8. Ending Your Membership 8.1 You can end your Membership at any time by writing to us. Cancellation will only be effective on the confirmation of your notice. 9. General 9.1 If, at any time, we do not expect you to act in line with any part of this contract, this does not mean that we won't expect you do to so in the future. 9.2 If any court or other competent authority disallows any part of this contract, the rest of the contract will not be affected. 9.3 We reserve the right to assign or otherwise transfer its rights or obligations under this agreement. 9.4 We accept no responsibility for disputes between You and any individual or organisation. The dispute must be resolved between the parties concerned. 9.5 We cannot be held responsible for any issues incurred due to technical failure or losses arising from misrepresentation of communications. 9.6 The laws of England shall govern this agreement and the parties submit to the non-exclusive jurisdiction of the courts of England and Wales. 9.7 Details displayed on the Our website will be archived by the UK Web Archiving Consortium (UKWAC) at http://www.webarchive.org.uk. 10. Definitions You: means you We, Us and Our: means Ethical Junction CIC Domain(s) and Database: means the functions and storage of the Service, like the website www.ethical-junction.org Service: means the service provided by Ethical Junction CIC Members and Membership: means the organisations or collection of organisations who have agreed to these Terms and Conditions and been accepted by Us as Members.
