TERMS AND CONDITIONS

  1. Description of Service
    1. We will provide an annual membership review service for organisations.
    2. We will provide our Members with the capability to register, establish and promote their organisation or person through the use of our Registered Domains.
    3. We will provide opportunities and encourage our Members to work together and collaborate to support the development of an ethical and sustainable economy.
    4. Ethical Junction CIC retains the right at all times to refuse to, provide service or any part thereof, including without limitation, post any unacceptable material and to remove any unacceptable material from our Registered Domains and our Database.
  2. Acknowledgement and Acceptance of Terms of Service
    1. This Service is provided to you under the Terms and Conditions of this Terms of Service and any operating rules or policies.
    2. The Terms of Service comprises the entire agreement between you and this Service supersedes all prior agreements between the parties regarding the subject matter contained herein.
    3. By completing the registration process you are indicating your agreement to be bound by all of the Terms and Conditions of this Terms of Service.
    4. Ethical Junction CIC owns all Intellectual Property Rights within our Registered Domains, Database and the Service, including without limitation, the design, text, graphics, the selection and arrangement.
  3. Application for Membership
    1. In consideration for this Service, you agree to: (1) provide certain, current, complete, and accurate information as prompted to do so by the Service and (2) maintain and update this information as required to keep it current, complete and accurate.
    2. If any information provided by you is incomplete or inaccurate, Ethical Junction CIC retains the right to terminate your use of this Service.
    3. You warrant, represent and undertake in relation to all material that you have obtained full and effective licence(s) from all relevant third parties allowing you to use relevant material and to permit its dissemination worldwide.
    4. You warrant that you have appropriate security procedures in place to protect your visitor and buyer personal information.
  4. Disclaimer of Warranties
    1. You expressly agree that use of the Service is at your sole risk.
    2. We make no warranty that the Service will meet your requirements, or that the Service will be uninterrupted, timely, secure, or error free; nor do we make any warranty as to the results that may be obtained from the use of the Service or as to the accuracy or reliability of any information obtained through the Service or that defects in the software will be corrected.
    3. You understand and agree that any material and/or data downloaded or otherwise obtained through the use of the Service is done at your own discretion and risk and that you will be solely responsible for and damage to your computer system or loss of data that results from the download of such material.
    4. We make no warranty regarding any goods or services purchased or obtained through the Service or any transactions entered through the Service.
    5. No advice or information, whether oral or written, obtained by you from us or through the Service shall create any warranty not expressly made herein.
    6. The Ethical Junction CIC is not responsible for and material and/or information provided by our affiliated Members.
  5. Limitation of Liability
    1. We shall not be liable for any direct, indirect, incidental, special or consequential damages, resulting from the use or the inability to use the Service or for cost of procurement of substitute goods and Services or resulting from any goods or Services purchased or obtained or messages received or transactions entered into through the Service or resulting from unauthorised access to or alternation of your transmissions or data, including but not limited to, damages for loss or profits, revenue, use, data, goodwill or other intangible, even if we have been advised of the possibility of such damages.
    2. Neither us or our Members shall be liable to the other for any loss suffered by the other party or be deemed to be in default for any delays or failures in performance hereunder (other than in relation to payment) resulting from acts or causes beyond its reasonable control or from any acts of God, acts or regulations of any governmental or supra-national authority.
  6. Our Prices and Changes
    1. On written confirmation and on the first and subsequent anniversaries, you shall pay Ethical Junction CIC for the cost of membership through provided payment options.
    2. Our prices for membership and any additional services are set out in our price list (which we publish from time to time).
    3. We retain the right to change the terms of this contract (including price) at any time (unless we have agreed otherwise with you).
    4. The most up-to-date version of our contract is always available on-line at www.ethical-junction.org/terms.
  7. Your Conduct
    1. We may, at our sole discretion, immediately terminate the Service should your conduct fail to conform with these Terms and Conditions or the Ethical Junction CIC Ethical Policy.
    2. Should you seek to directly or indirectly interfere with, damage or degrade the Service then we may hold you responsible for all our technical, legal and other costs, including any loss of profit.
  8. Ending Your Membership
    1. You can end your membership with Ethical Junction CIC at any time by writing to us.
  9. General
    1. If, at any time, we do not expect you to act in line with any part of this contract, this does not mean that we won't expect you do to so in the future.
    2. If any court or other competent authority disallows any part of this contract, the rest of the contract will not be affected.
    3. Ethical Junction CIC reserves the right to assign or otherwise transfer its rights or obligations under this agreement.
    4. Ethical Junction CIC accepts no responsibility for disputes between you and any individual or organisation. The dispute must be resolved between the parties concerned.
    5. The Ethical Junction CIC cannot be held responsible for any issues incurred due to technical failure or losses arising from misrepresentation of communications.
    6. The laws of England shall govern this agreement and the parties submit to the non-exclusive jurisdiction of the courts of England and Wales.
    7. Details displayed on the Ethical Junction CIC website will be archived by the UK Web Archiving Consortium (UKWAC) at http://www.webarchive.org.uk.
    8. Words and phases used in this document.

Registered Domains means the URLs that are legally registered under Ethical Junction CIC, for example www.ethical-junction.org.

Database means the database that populates the Ethical Junction CIC directory found at www.ethical-junction.org.

Member(s) means an organisation or organisations that have passed our membership process.

Price List means our schedule of charges, which is a list of our most current prices and charges. The price list is available on request by contacting membership@ethical-junction.org.
